MangoHR HR Document Downloads – Terms of Use

Please read the following terms and conditions carefully before accessing or using the services provided by MangoHR Technologies Inc., operating under mangoHR, (“MangoHR”, “mangohr” / “we” / “us” / “Our”). By clicking "I Agree," or by downloading, accessing, or using any documents or templates made available through this website (the "Services"), you ("you" or "Client") confirm that you understand and accept these Terms of Use in full. If you do not agree with these Terms, you must not access or use the Services.

1. Description of Services

MangoHR provides downloadable human resources (HR) documents and templates intended for use by employers, HR professionals, and organizations across Canada. Access to the Services may be offered either on a per-document purchase basis or by subscription. These materials are designed to offer practical HR guidance and support. They are not intended for use by individuals acting in a personal or non-commercial capacity.

2. Use of Materials

All documents, templates, and other content provided through the Services are the intellectual property of MangoHR or its licensors. These materials are licensed for your internal business use only. You may download, modify, and use the documents within your own organization. You may not resell, republish, sublicense, redistribute, or commercially exploit the documents in any way outside of your organization.

Unauthorized use of the Services or the materials may violate intellectual property laws and will be considered a material breach of this agreement. MangoHR reserves the right to terminate your access to the Services without notice if you misuse the materials or otherwise violate these Terms.

3. No Legal Advice

The documents and templates available through MangoHR are provided for general informational purposes only. They are not legal advice, nor are they a substitute for legal advice. MangoHR is not a law firm and does not provide legal representation or counsel. Use of the Services does not create any solicitor-client relationship between you and MangoHR.

You are solely responsible for ensuring that any documents you use are appropriate for your organization’s specific circumstances and that they comply with applicable laws and regulations in your jurisdiction. You should consult a qualified legal professional before relying on or implementing any document obtained from the Services.

4. Limitation of Liability

To the fullest extent permitted by law, MangoHR, its directors, officers, employees, agents, affiliates, contractors, and licensors shall not be liable for any loss, damage, claim, or expense, whether direct or indirect, arising from your use of or reliance on the Services or any documents provided. This includes, but is not limited to, loss of revenue, business interruption, legal claims, or fines that may arise as a result of the use or misuse of the materials.

MangoHR’s total liability, if any, shall be limited to the amount you paid to MangoHR for the document or subscription giving rise to the claim. No action may be brought against MangoHR more than one year after the cause of action has arisen.

5. Indemnification

You agree to indemnify and hold harmless MangoHR and its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of or relating to your use of the Services, your implementation of any documents, or your breach of these Terms.

6. No Warranties

The Services and all documents are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. MangoHR makes no representations or warranties regarding the accuracy, completeness, fitness for purpose, legality, or suitability of the documents for any particular use. All implied warranties and conditions, including any related to merchantability or fitness for a particular purpose, are expressly disclaimed.

7. Changes to the Terms

MangoHR may update or revise these Terms of Use at any time without prior notice. It is your responsibility to review these Terms periodically. Continued use of the Services after any change constitutes your acceptance of the updated Terms.

8. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any legal proceeding relating to these Terms or your use of the Services.

9. Severability

If any part of these Terms is found to be unlawful, void, or unenforceable, that part shall be severed, and the remaining provisions will remain in full force and effect deemed to be your acceptance of the changes.

10. Governing Law and Jurisdiction

These Terms of Use and any dispute arising from or related to the Services shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. By accessing or using the Services, you agree to submit to the exclusive jurisdiction of the courts located in British Columbia for the resolution of any legal matters or disputes. You expressly waive any objection to the jurisdiction or venue of those courts.
